Draft Red Herring Prospectus

Issued by PP Waterballs Limited (Proposed) purely as satire. No securities are being offered. No regulator has seen this, because it isn't real.

PP Waterballs Limited ("the Company", "we", "our sacred water balloons of destiny") proposes to offer up to 10,00,000 equity shares of face value ₹1 each, entirely hypothetically, to a public that is not being asked to actually pay anything.

Risk Factors

Puri may burst in transit. Our core product is, structurally, a thin fried shell under pressure. Logistics partners have been briefed. They remain skeptical.
Water-to-tamarind ratio volatility. The Company's flagship "pani" formula is subject to seasonal variation, founder mood, and at least one ongoing family dispute over how much mint is too much mint.
Overreliance on a single viral meme. A meaningful share of the Company's brand awareness derives from finance Twitter periodically rediscovering that IPO oversubscription numbers are funny. This traffic is not guaranteed to recur on any schedule the Company can control, predict, or invoice for.
Competitive threats from every street vendor in Delhi. Barriers to entry in the golgappa sector are, to be direct about it, close to zero.
Key-person risk. The Company's entire operating history rests on two friends, Prem and Prakash, and a CA who overheard one conversation about going public. Succession planning has not been discussed.
